SmallBiz AI Suite provides AI-powered website assistants and lead generation tools designed to support small business growth. We reserve the right to modify, suspend, or discontinue any part of our services at any time without notice.

4. User Responsibilities

You agree not to misuse our services, including but not limited to spamming, hacking, or engaging in illegal activities. You are responsible for any activity that occurs under your account.

5. Account Access & Security

If you create an account with us, you are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

6. Payment and Billing

Some features require payment, including monthly subscriptions and one-time onboarding fees. You authorize us to charge your selected payment method. You may cancel your subscription at any time. Fees are non-refundable unless otherwise stated.

7. Intellectual Property

All content, trademarks, and technology used by SmallBiz AI Suite are the property of the company or its licensors. You may not copy, distribute, or create derivative works without written consent.

8. Use of Third-Party Services

We use platforms such as GoHighLevel, SpeedToLead (or ZappyChat), and People Data Labs to deliver our services. We are not responsible for any issues or service interruptions caused by these third-party platforms.

9. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause or notice.

10. Disclaimers and Limitation of Liability

Our services are provided ‘as is’ without warranties of any kind. To the fullest extent permitted by law, we disclaim all liability for damages arising out of your use of our services.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. Any legal action must be filed in courts located in King County, Washington.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of our services constitutes acceptance of the revised Terms.

14. Communications Tools & Platform Integrations

SmallBiz AI Suite may enable communication through third-party platforms (e.g., SMS, email, Facebook Messenger, Instagram, Google Business Profile Chat, or other integrated tools) via services like GoHighLevel, SpeedToLead (or ZappyChat), and People Data Labs.

You agree that:
– You are solely responsible for the content, timing, and legality of all messages sent through these channels.
– Your use of communications features must comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
– You are the initiator of all communications and must ensure all recipients have given proper consent to be contacted.
– Any automated appointment scheduling or lead interaction features are provided “as is.” We do not guarantee their accuracy, functionality, or compatibility.
– Data collected through chat interactions or other channels may be stored on third-party servers and is not considered ephemeral.
– You must comply with the terms of service and privacy policies of any third-party platforms you use in connection with our services.
– We make no warranties regarding the performance or reliability of any third-party integrations and disclaim all liability for service disruptions, data loss, or legal issues arising from such platforms.

You agree to indemnify and hold harmless SmallBiz AI Suite and its partners from any claims, losses, or liabilities related to:
– Violations of communication laws,
– Misuse of communication or scheduling features,
– Non-compliance with third-party terms,
– Or harm resulting from inaccurate or failed messages, leads, or appointments.

15. AI Assistant Disclaimer

SmallBiz AI Suite uses artificial intelligence tools (such as ChatGPT) to enable automated conversations on behalf of clients. By using our AI assistant features, you acknowledge and agree that:

– The AI assistant generates content automatically, based on user prompts and prior training data. We do not manually script or control every response.
– The AI may sometimes produce incorrect, outdated, or inappropriate responses.
– Our AI tools are provided for informational and engagement purposes only and are not intended to replace professional advice of any kind (legal, medical, financial, etc.).
– You are solely responsible for reviewing, editing, and supervising the AI assistant’s behavior and outputs on your site. You should not rely solely on its responses for important business communications.
– SmallBiz AI Suite does not warrant or guarantee the accuracy, reliability, or appropriateness of AI-generated content, nor the availability or behavior of third-party models like ChatGPT.
– You agree to hold SmallBiz AI Suite harmless for any damages, claims, losses, or liabilities arising from the use of AI-generated content, including but not limited to incorrect information, customer confusion, or reputational damage.

16. Disclaimer of Warranties

We provide our services, including any AI assistants, third-party integrations, and the website itself, on an “as is” and “as available” basis. To the fullest extent permitted by law, SmallBiz AI Suite disclaims all warranties of any kind, whether express or implied, statutory or otherwise, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the services will be error-free, uninterrupted, secure, or free from viruses or other harmful components. You are responsible for implementing appropriate safeguards (such as antivirus software and data backups) to protect your systems and data.

We make no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of information generated by AI systems, third-party services, or content available through the platform.

17. Limitation of Liability

To the fullest extent permitted by law, SmallBiz AI Suite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, goodwill, data, or other intangible losses resulting from your use or inability to use the services.

Our total liability to you for all claims related to the services shall not exceed the greater of (a) the total amount you paid to SmallBiz AI Suite for the services in the twelve (12) months prior to the event giving rise to the claim, or (b) $100.

These limitations apply regardless of whether a claim is based on warranty, contract, tort, or any other legal theory, and whether or not SmallBiz AI Suite has been informed of the possibility of such damage.

18. Indemnification

You agree to indemnify, defend, and hold harmless SmallBiz AI Suite, its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, or expenses, including legal fees and costs, arising out of or in any way connected with your access to or use of the services, your violation of these Terms, your violation of any third-party rights, or your violation of applicable laws or regulations.

19. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the services shall be resolved through final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in the State of Washington, and the language of the arbitration shall be English. Each party shall bear its own costs, and judgment on the arbitration award may be entered in any court of competent jurisdiction.
